Corporate crises don’t appear overnight, they develop when legal risks are ignored, misjudged, or left unmanaged.

This one-hour workshop, grounded in Luxembourg corporate practice, is built around real-life scenarios encountered in companies.

We will explore how shareholder misalignment escalates into decision-making paralysis, how the loss of affectio societatis translates into legally actionable dysfunction, and how to identify (and prevent) majority or minority abuse before value is extracted or the company becomes ungovernable.

We will then turn to governance and directors’/officers’ liability exposure, including decision-making processes, conflicts of interest, and delegation issues. Finally, we will address key legal reflexes in situations of liquidity stress and imminent insolvency.

The approach is deliberately practical: for each scenario, we highlight clauses and mechanisms that remain enforceable under stress and best practices for evidence management.

The objective is to equip participants with the tools to anticipate, secure, and de-escalate corporate crises before they become fully contentious.
